This Subscription Agreement (the "Agreement") is made and entered into on the date the Subscription is Purchased (the "Effective Date") by and between Wine Country Connection, a California Limited Liability Corporation with its principal place of business in California ("Company"), and you, the Purchaser of the Subscription "Customer." Subscription Services. Company shall provide Customer with access to the MASTER PASS coupon (the "Subscription Service") for a term of one (1) year from the Effective Date, automatically renewing on an annual basis unless terminated under this Agreement. Fees and Payment. Customer shall pay Company the subscription fee for the Subscription Service. The subscription fee shall be due immediately during checkout. Customer shall provide Company with a valid credit card to pay the subscription fee. The subscription fee shall be automatically charged to the credit card on file at the beginning of each annual renewal term. Termination. Either party may terminate this Agreement upon written notice to the other party at least one day before the end of the then-current term. If Customer terminates this Agreement before the end of the then-current term, Customer shall not be entitled to a refund of any fees paid. Company may terminate this Agreement immediately if Customer breaches any material term of this Agreement. Warranties and Disclaimers. Company warrants that the Subscription Service will conform with its documentation. Customer's sole and exclusive remedy for any breach of this warranty shall be for Company to use reasonable efforts to correct such non-conformance. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the California without regard to its conflicts of laws principles. Entire Agreement. This Agreement constitutes the entire Agreement between the parties and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, relating to the subject matter hereof. By purchasing this subscription, you, the "customer," agree to this Agreement.
